These Terms apply to all Services operated by Leftoak Labs. Certain Services may have additional terms specific to their functionality, which are described in Application-Specific Addenda at the end of these Terms. Each applicable addendum is incorporated into and forms part of these Terms.
Current addenda:
- Addendum A: fretengine (guitar instruction and practice tools)
We may update these Terms from time to time in our sole discretion. If we make material changes, we will post the revised Terms with an updated effective date, which shall constitute notice of such changes. Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
2. Eligibility#
The Services are intended for users who are at least 16 years of age (or the applicable minimum age of digital consent in your jurisdiction). We reserve the right to restrict or terminate your access to the Services if we determine in our sole discretion that you have violated these Terms.
6. Intellectual Property#
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio, software, and the arrangement thereof — are the exclusive property of Leftoak Labs or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms. No right, title, or interest in or to the Services or any content therein is transferred to you. All rights not expressly granted are reserved by Leftoak Labs.
7. User-Generated Content#
7.1 Your Content#
Certain Services may allow you to create, submit, or store content, including but not limited to session names, configuration data, and chat messages (collectively, "User Content"). You retain ownership of your User Content, subject to the license granted below.
7.2 License Grant#
By submitting or storing User Content through the Services, you grant Leftoak Labs a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely as necessary to provide, maintain, and improve the Services. This includes processing User Content through third-party AI services to generate responses where applicable (such as AI chat features). This license terminates when you delete your User Content or your account, except to the extent that backup copies may persist for a limited time as described in our Privacy Policy.
7.3 Your Responsibilities#
You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to submit your User Content and that your User Content does not violate any applicable law, regulation, or third-party right.
8. Payments#
8.1 General#
Certain Services may involve payments, including voluntary payments (such as tips or discretionary contributions) and paid subscriptions or other fees. The specific payment model for each Service is described in the applicable addendum. The following general provisions apply to all payments made through our Services.
By making a payment, you acknowledge and agree that:
- Payments are processed by Stripe, our third-party payment processor. Stripe supports a variety of payment methods as described on their platform. You provide your payment information directly to Stripe, and we do not collect or store your payment card details on our servers.
- Stripe's terms of service and privacy policy govern the processing of your payment. We are not responsible for Stripe's handling of your payment information.
- You are responsible for any applicable taxes on your payments.
Our Refund Policy, available at https://leftoak.com/refunds, provides additional details on our refund practices.
8.2 Voluntary Payments#
Certain Services may offer you the opportunity to make voluntary payments — such as tips or other discretionary contributions — to show appreciation for the Service (each, a "Voluntary Payment"). Voluntary Payments are entirely optional and are not required to access or use the Services.
By making a Voluntary Payment, you additionally acknowledge and agree that:
- The payment is made voluntarily and at your sole discretion.
- The payment is a gratuity in support of the Service and does not entitle you to any additional features, services, or preferential treatment.
- All Voluntary Payments are final and non-refundable, except as required by applicable law.
8.3 Paid Subscriptions and Fees#
Certain Services may offer paid subscriptions or other fee-based access to features or functionality ("Paid Subscriptions"). The specific pricing, subscription tiers, billing terms, cancellation rights, and refund eligibility for Paid Subscriptions are described in the applicable addendum and are subject to our Refund Policy.
8.3.1 Recurring Billing#
Paid Subscriptions are billed on a recurring basis (e.g., monthly) at the interval specified at the time of purchase. By subscribing, you authorize Leftoak Labs (through our payment processor) to charge your selected payment method on a recurring basis until you cancel your subscription. YOUR SUBSCRIPTION WILL CONTINUE AUTOMATICALLY UNTIL YOU CANCEL.
8.3.2 Price Changes#
We may change subscription pricing from time to time. If we increase the price of your subscription, we will provide you with at least 30 days' advance notice before the price change takes effect. The new price will apply at the start of your next billing cycle following the notice period. IF YOU DO NOT AGREE TO THE PRICE CHANGE, YOU MAY CANCEL YOUR SUBSCRIPTION BEFORE THE NEW PRICE TAKES EFFECT.
8.3.3 Cancellation#
You may cancel your Paid Subscription at any time. Upon cancellation, your subscription will remain active until the end of your current billing period. You will not be charged for subsequent billing periods after cancellation. Access to paid features ceases at the end of the billing period in which you cancel.
8.3.4 Failed Payments#
If a recurring payment fails, we may attempt to process the payment again or notify you to update your payment method. If payment cannot be collected after reasonable attempts, we may suspend or downgrade your access to paid features.
9. Third-Party Services and Links#
The Services may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by Leftoak Labs. We have no control over, and assume no responsibility or liability for, the content, privacy policies, or practices of any third-party services.
Your use of third-party services is at your own risk and subject to the terms and conditions of those services. We encourage you to review the terms and privacy policies of any third-party services you access.
10. Privacy#
Your use of the Services is also governed by our Privacy Policy, available at https://leftoak.com/privacy. By using the Services, you acknowledge that you have read and understood our Privacy Policy. Where we rely on your consent to process personal data (such as for analytics cookies), we will obtain that consent separately through the mechanisms described in the Privacy Policy (such as cookie preference controls).
11. Disclaimer of Warranties#
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEFTOAK LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LEFTOAK LABS MAKES NO GUARANTEE THAT YOU WILL ACHIEVE ANY SPECIFIC RESULT OR ATTAIN ANY SPECIFIC BENEFIT FROM YOUR USE OF THE SERVICES.
WITHOUT LIMITING THE FOREGOING, LEFTOAK LABS DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE;
- THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- THE QUALITY OF THE SERVICES WILL MEET YOUR EXPECTATIONS; OR
- ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM LEFTOAK LABS OR THROUGH THE SERVICES, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.
12. Limitation of Liability#
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEFTOAK LABS, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES;
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICES;
- ANY VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT;
- ANY CONTENT OBTAINED FROM THE SERVICES, INCLUDING AI-GENERATED CONTENT;
- ANY DECISIONS OR ACTIONS TAKEN IN RELIANCE ON AI-GENERATED CONTENT PROVIDED THROUGH THE SERVICES;
- YOUR INABILITY TO ACHIEVE ANY DESIRED RESULT FROM YOUR USE OF THE SERVICES; OR
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA OR CONTENT.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF LEFTOAK LABS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO LEFTOAK LABS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) TEN UNITED STATES DOLLARS (US $10.00).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF LEFTOAK LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, LEFTOAK LABS' LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
13. Indemnification#
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Leftoak Labs, its officers, directors, members, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your violation of any applicable law or regulation through or in connection with your use of the Services or any violation of these Terms; (b) your infringement of any third-party intellectual property rights; or (c) any content you submit, post, or transmit through the Services.
14. Governing Law and Dispute Resolution#
14.1 Governing Law#
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles.
14.2 Informal Resolution#
Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@leftoak.com and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved through informal communication.
14.3 Binding Arbitration#
If we cannot resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator. Unless you and Leftoak Labs agree otherwise, the arbitration shall take place in Travis County, Texas, or may be conducted remotely (by telephone, videoconference, or online) at either party's election.
The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Terms, including any claim that all or any part of these Terms is void or voidable.
The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
14.4 Waiver of Class Actions#
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND LEFTOAK LABS EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH YOU AND LEFTOAK LABS WAIVE ANY RIGHT TO A JURY TRIAL.
14.5 Batch Arbitration#
If twenty-five (25) or more similar arbitration demands are filed against Leftoak Labs within a sixty (60) day period, the following bellwether process applies: the parties shall randomly select ten (10) claims to proceed as initial bellwether cases. All other claims shall be stayed pending resolution of the bellwether cases. After the bellwether cases are resolved, the parties shall engage in a single mediation session to attempt to resolve the remaining claims based on the bellwether outcomes. If mediation does not resolve the remaining claims, they shall proceed in batches of ten (10) at a time, with each subsequent batch commencing only after the prior batch is resolved. Nothing in this section prevents you from pursuing your individual claim during the bellwether or batch process if your claim is selected.
14.6 Exceptions#
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
14.7 International Users#
If you access the Services from outside the United States, you do so at your own initiative and are responsible for compliance with local laws. Nothing in these Terms limits any rights you may have under the mandatory consumer protection laws of your country of residence that cannot be waived by contract.
15. Termination#
We may suspend or terminate your access to the Services at any time, for any reason or no reason, with or without notice. Upon termination, your right to use the Services ceases immediately. We will handle your personal data in accordance with our Privacy Policy, including honoring any applicable privacy rights. We will retain data only as described in our Privacy Policy and as required by law.
If you have an active Paid Subscription at the time of termination by us without cause, we will refund the prorated portion of your current billing period.
The following sections survive termination of these Terms: Sections 6 (Intellectual Property), 7 (User-Generated Content — license provisions), 8 (Payments), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 14 (Governing Law and Dispute Resolution), 15 (Termination), and 16 (General Provisions).
16. General Provisions#
16.1 Entire Agreement#
These Terms, together with the Privacy Policy, Refund Policy, and any applicable addenda, constitute the entire agreement between you and Leftoak Labs regarding the Services and supersede all prior agreements and understandings.
16.2 Severability#
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16.3 Waiver#
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Leftoak Labs.
16.4 Assignment#
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
16.5 Force Majeure#
Leftoak Labs shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or prolonged and catastrophic failures of critical third-party infrastructure beyond our reasonable control.

Addendum A: fretengine#
Application: fretengine — guitar instruction and practice tools URL: https://fretengine.com Addendum Effective Date: August 14, 2026
This addendum supplements the Leftoak Labs Terms of Service with terms specific to fretengine. Where this addendum conflicts with the general Terms, this addendum governs for users of fretengine.
A.1 Description of the Service#
fretengine is a guitar instruction web application that provides music education through interactive lessons, chord and scale visualization, practice tools, and an AI-powered music theory assistant. fretengine offers free and paid functionality as described below.
A.2 Service Tiers#
fretengine offers the following service tiers:
A.2.1 Free Tier#
The Free Tier provides access to core guitar instruction features, including chord and scale visualization, fretboard exploration, and practice tools. The Free Tier is provided at no cost and requires no account registration. Free Tier features are provided on an "as is" and "as available" basis, and we make no commitment regarding uptime, availability, or continued operation.
A.2.2 Solo Plan Subscription#
The Solo Plan Subscription provides access to all Free Tier features plus the ability to create and manage persistent sessions. Persistent sessions save your workspace configuration — including instrument selections, tool configurations, and display preferences — so you can return to them at any time.
The Solo Plan Subscription requires account registration and an active Paid Subscription.
Solo Plan Subscription features include:
- Creating and saving persistent sessions with full workspace state
- Naming and organizing sessions
- Accessing saved sessions across devices
- All Free Tier features
A.2.3 Navigator Plan Subscription#
The Navigator Plan Subscription provides access to all Solo Plan Subscription features plus the AI music theory assistant. The AI assistant enables interactive, conversational music theory guidance and can configure your session workspace — including visualizing chords and scales on the fretboard, configuring the metronome, and modifying other tool settings — based on your conversation.
The Navigator Plan Subscription requires account registration and an active Paid Subscription.
Navigator Plan Subscription features include:
- AI-powered music theory assistant with conversational chat
- AI-driven session configuration (fretboard visualization, metronome, tools)
- Full chat transcript history
- All Solo Plan Subscription features
A.2.4 Pricing and Billing#
- Subscription pricing for each tier is displayed at the time of purchase within the application.
- Subscriptions are billed monthly on a recurring basis, starting on the date of purchase.
- Billing terms are subject to Section 8 of the general Terms.
A.3 AI Assistant Terms#
The following terms apply specifically to the AI music theory assistant available in the Navigator Plan Subscription.
A.3.1 Nature of AI Responses#
The AI assistant is designed to provide educational guidance on guitar music theory topics. AI responses are generated by third-party artificial intelligence models and are subject to the following limitations:
- Not professional instruction. The AI assistant is a supplementary educational tool and is not a substitute for professional music instruction. Any reliance you place on AI-generated content is at your own risk.
- Accuracy not guaranteed. AI-generated content may contain inaccuracies, omissions, or contextually inappropriate information. You should independently verify the accuracy of any AI-generated content before relying on it.
- No real-time awareness. The AI assistant does not have access to real-time information and its knowledge is limited to its training data and the context of your conversation.
- Topic limitations. The AI assistant is designed for guitar music theory discussions. It is not intended for and should not be relied upon for medical, legal, financial, or other non-music advice.
A.3.2 Chat Data#
When you use the AI assistant:
- Your chat messages are sent to third-party AI service providers for processing. See our Privacy Policy for details on which providers are used and how your data is handled.
- Full chat transcripts (your messages and AI responses) are stored in our database as part of your session data. See our Privacy Policy for data retention details.
- Chat transcripts are scoped to your authenticated account and are not accessible by other users.
A.3.3 AI Acceptable Use#
In addition to the general User Conduct provisions in Section 5 and the fretengine-specific provisions in Section A.7, when using the AI assistant you agree not to:
- Attempt to manipulate, override, or circumvent the AI assistant's topic constraints or safety guardrails.
- Use the AI assistant for any purpose other than educational music theory discussion.
- Submit content through the AI assistant that is illegal, harmful, abusive, threatening, defamatory, or otherwise objectionable.
- Attempt to extract the AI assistant's system prompts, instructions, or internal configuration.
- Use the AI assistant to generate content that infringes on third-party intellectual property rights.
We reserve the right to limit, suspend, or terminate your access to the AI assistant if you violate these terms.
A.3.4 AI Service Availability#
The AI assistant relies on third-party AI services. We do not guarantee the availability, performance, or accuracy of the AI assistant. The AI assistant may be temporarily unavailable due to third-party service outages, maintenance, or other factors beyond our control. Temporary unavailability of the AI assistant does not entitle you to a refund, provided that the rest of the Service remains substantially available.
A.3.5 Changes to AI Features#
We may modify, update, or change the AI models, providers, or capabilities used by the AI assistant at any time without prior notice. Such changes may affect the style, quality, or behavior of AI responses. We will make reasonable efforts to maintain or improve the quality of the AI assistant over time, but we do not guarantee consistency of AI responses across model updates.
A.4 Cancellation and Data Access#
A.4.1 Cancellation#
You may cancel your subscription at any time. Upon cancellation:
- Your subscription remains active until the end of your current billing period.
- You retain full access to your saved sessions, chat history (Navigator Plan), and all paid features through the end of the billing period.
- After the billing period ends, you will lose access to paid features. Your account will revert to the appropriate lower tier (the Solo Plan reverts to the Free Tier; the Navigator Plan reverts to the Free Tier unless you maintain a Solo Plan Subscription).
A.4.2 Downgrade from the Navigator Plan to the Solo Plan#
If you downgrade from the Navigator Plan Subscription to the Solo Plan Subscription:
- You retain access to your saved sessions and workspace configurations.
- You lose access to the AI assistant and the ability to start new AI chat conversations.
- Existing chat transcripts are retained for ninety (90) days following the downgrade, after which they may be permanently deleted. Chat transcripts are not accessible through the application during this retention period.
A.4.3 Data Retention After Subscription Ends#
After your subscription ends (whether by cancellation or non-renewal), your subscription-specific data will be retained as follows:
- Saved sessions, workspace state, and instrument selections: Retained for ninety (90) days, during which the data is preserved but not accessible through the application. If you resubscribe within the retention period, your data will be restored.
- Chat transcripts (Navigator Plan): Retained for ninety (90) days following the end of the Navigator Plan Subscription, then permanently deleted.
- After the retention period expires, data may be permanently deleted.
You may request earlier deletion of your data at any time by contacting us at support@fretengine.com, subject to our Privacy Policy.
A.4.4 Data Export#
We do not currently offer a self-service data export feature. If you would like a copy of your session data or chat transcripts before cancellation, please contact us at support@fretengine.com and we will provide your data in a reasonable format.
A.5 Educational Content Disclaimer#
The instructional content provided through fretengine — including music theory explanations, chord voicings, scale patterns, practice guidance, and AI-generated responses — is for educational and informational purposes only. We do not guarantee the accuracy, completeness, or suitability of any instructional content for any particular purpose.
fretengine is not a substitute for professional music instruction. Any reliance you place on the content provided through the Service is at your own risk. Guitar practice involves physical activity that carries inherent risk of strain or injury. You are solely responsible for assessing your physical condition and limitations. Consult a medical professional if you experience pain or discomfort during practice.
A.5.1 AI-Generated Content#
AI-generated content within fretengine — including but not limited to explanations, practice suggestions, chord or scale recommendations, and conversational responses from the AI assistant — is produced by third-party artificial intelligence models. AI-generated content:
- May contain inaccuracies, omissions, or contextually inappropriate information.
- Should be independently verified before being relied upon.
- Does not represent the views or opinions of Leftoak Labs.
- Is provided subject to the educational content disclaimer above and the AI assistant terms in Section A.3.
A.6 Voluntary Tips#
fretengine offers users the ability to leave a voluntary tip to show appreciation for the Service. In the context of fretengine, Voluntary Payments (as defined in Section 8.2 of the general Terms) take the form of tips. Tips are processed by Stripe and are subject to Section 8 of the general Terms.
To be clear:
- Tips are entirely optional and are not required to access or use any feature of fretengine.
- Tips do not create any ongoing obligation on the part of Leftoak Labs.
- Tips do not entitle you to any additional features, support, or service level.
- All tips are final and non-refundable, except as required by applicable law. Please see our Refund Policy for details.
A.7 Acceptable Use#
In addition to the general User Conduct provisions in Section 5, when using fretengine you agree not to:
- Systematically download, scrape, or extract instructional content, chord data, scale patterns, or other educational material from fretengine.
- Use the Service or content derived from it to create a substantially similar guitar instruction application or service.
- Redistribute, republish, or commercially exploit any content from fretengine without our prior written consent.
- Share your account credentials with others or allow multiple individuals to use a single subscription account.
